Legal address and contact person
On January 15, 2018, amendments to the Commercial Code came into force concerning legal entities with a foreign management board. From now on, companies managed from abroad, even from another EU country, will be required to appoint a contact person from among local residents. Moreover, if in the past such a contact person could be any resident of Estonia (legal entity or individual), now the law clearly states that only a lawyer, notary, auditor, tax representative of a non-resident, as well as a licenced person offering the services of commercial partnership can be appointed as a contact person. A contact person does not have any rights or obligations in the company, they do not have the right to make decisions or sign documents related to the activities of the company. The only function of this person is only to receive letters and notifications from the state authorities of Estonia.
